We provide transactional corporate legal services for clients, ranging from individuals and startups to medium-sized businesses and publicly-traded corporations. Founding attorney Bob Rapfogel has experience acting as outside counsel on both large and small corporate transactions, as well as in-house experience handling a publicly-traded company’s corporate governance, securities and transactional matters. Our background gives us the perspective and experience to provide legal services without losing sight of our clients’ businesses, both present and future.

Our Corporate Practice Includes:

  • Entity formation, structuring, maintenance and corporate governance matters (for corporations, limited liability companies, partnerships, and other entity types);
  • Commercial transactions and business contracts, including Vendor and Supplier Agreements, Master Service Agreements (MSAs), Sales Agreements (including Bills of Sale), Joint Venture Agreements, Rental and Equipment Lease Agreements, and other general business contracts;
  • Corporate, investment and company agreements, including Shareholder Agreements, Partnership Agreements, Limited Liability Company Agreements, Investor Rights Agreements, Voting Agreements, Registration Rights Agreements, Operating Agreements, Buy/Sell Agreements, Employment and Consulting Agreements, Equity Incentive Compensation Plans and Agreements, and Confidentiality and Inventions Agreements;
  • Acting as “out-sourced general counsel” for companies, by handling ongoing general corporate legal matters and coordinating on their behalf with the client’s other counsel, tax advisors, accountants, and internal departments; and

It is important to note that corporate transactions often implicate issues that require the attention of other areas of expertise, including tax, employment law, and intellectual property law. We are not tax experts, patent attorneys or employment lawyers. However, because we often become intimately familiar with our clients’ operations as corporate counsel, if a client chooses, we can also assist as “outsourced general counsel” and help our clients efficiently manage and coordinate with other required specialized counsel and experts.
